UNCHOR OS Terms of Service
Version 2026-10-23. Effective 23 October 2026.
These Terms of Service ("Terms") are a contract between SyncPesa Technologies Limited, a private limited company incorporated in Kenya under the Companies Act, 2015 ("we", "us", "our"), and the person or organisation that creates an UNCHOR OS account or uses UNCHOR OS ("you").
Our company registration: Company No. PVT-3B1MD9BO.
Our registered office: Muli Mall Building, Biashara Street, P.O. Box 12-90200 Kitui, Kenya.
1. How these Terms work
- You accept these Terms and the Acceptable Use Policy when you tick "I agree" and create an account. Without that agreement an account cannot be created.
- If you use UNCHOR OS for an organisation, you confirm that you have the authority to bind it, and "you" means that organisation.
- Other documents form part of this contract when they apply to you: the Operator Agreement (when you run a network that serves other people), the Data Processing Terms (when we process personal data for you), the Fees, Cancellation and Refund Policy (when you pay us), and the Partner Data Access Terms (when you are an approved data partner).
- The Privacy Notice, Cookie and Local Storage Policy, Security and Vulnerability Disclosure Policy, Artificial Intelligence and Automation Policy, Support and Service Policy and Government and Law Enforcement Request Policy explain how we work. They are information for you, not obligations on you.
- If documents conflict, this order applies: the Data Processing Terms (for personal data), then these Terms, then the other documents.
2. What UNCHOR OS is
UNCHOR OS provides technology, capability, knowledge and software that make advanced networking accessible: a cloud service, a gateway agent you install on equipment you control, diagnostic and automation tools, an Academy and community, documentation, templates and recommendations.
We do not:
- provide internet access, carry anyone's traffic, or operate your network or equipment
- receive, hold or move money that your customers pay you; payments go directly to payment accounts you own, and we are not a bank, wallet, escrow, lender or money-transfer service
- decide how you configure, use or rely on the software, or what you do with what you learn
You decide how you use UNCHOR OS and you are responsible for that use, including every setting you choose, every change you approve, every network you run and every person you give access to. Diagnoses, forecasts, recommendations, Academy lessons and community answers are information to help you decide. They can be wrong or incomplete, so check them against your situation before you act on them. Every feature in the app shows whether it is verified, limited or not yet verified on real hardware.
3. Your account
- You must be at least 18 years old and legally able to enter contracts.
- Give accurate information and keep it up to date.
- Keep your password secret and turn on 2-step sign-in. You are responsible for everything done through your account, including by people you invite and by API keys you create.
- Tell us without delay if you believe your account has been used without your permission, using the contact form at http://127.0.0.1:8080/contact (topic: Security report).
4. Licence
While these Terms are in force and your fees are paid, we grant you a non-exclusive, non-transferable, revocable licence to use UNCHOR OS and to install the gateway agent on equipment you own or are authorised to manage. You may not:
- resell, rent or sublicense UNCHOR OS, except as a reseller or partner under a separate written agreement with us
- copy, modify or reverse-engineer it, except to the extent the law allows you to do so regardless of this restriction
- use it to build a competing product, or remove notices of ownership
We own UNCHOR OS, its software, design and content. You own your data. Open-source components keep their own licences, which are listed in the software bill of materials published with each release.
5. Fees
Plans, gateway fees and any percentage fees are shown before you subscribe, under Billing in the app and on every invoice. The Fees, Cancellation and Refund Policy explains invoices, taxes, late payment, cancellation and refunds. Free plans and free tools may have limits, which are shown where they apply.
6. Your responsibilities
You are solely responsible for:
- having the right to run a network at your premises and on the equipment you connect
- having your internet provider's permission to share or resell a connection, and holding any licence your country requires to offer internet access to the public
- complying with the law that applies to you, including consumer, data protection, tax, telecommunications and employment law
- your customers, your prices, your refunds and your support to them
- keeping copies of anything that matters to you outside UNCHOR OS (exports are available under Settings)
- the physical safety of your equipment, wiring and power
UNCHOR OS includes safeguards: it will not sell access until a site's licence and provider permission are recorded, it refuses to replace someone else's network configuration without your explicit approval, and high-impact changes require an approval and can be undone. These safeguards help you comply; they do not move your responsibility to us.
7. Acceptable use
You must follow the Acceptable Use Policy. We may limit or suspend a feature, a site or an account that breaches it, as section 13 describes.
8. Your data
- You keep all rights in the data you put into UNCHOR OS. You give us the permission we need to host, process and display it to provide the service to you.
- We are the controller of your account information and process it as the Privacy Notice explains. When we process personal data about your customers or staff for you, you are the controller and we are your processor under the Data Processing Terms.
- UNCHOR OS never records the websites your customers visit, their DNS queries or the content of their traffic.
- Anonymous statistics are shared outside your workspace only when you allow it, and only as totals from at least five workspaces, as the Privacy Notice and the Partner Data Access Terms describe.
- You can export your data at any time under Settings → Privacy & data.
9. Feedback and the community
If you send us ideas or feedback, we may use them without obligation to you. Content you post in the community remains yours; you give us a worldwide, non-exclusive licence to host and show it in the community and to remove it if it breaks the Acceptable Use Policy. You may delete your posts at any time.
10. Availability and changes to the service
We work to keep UNCHOR OS available and to improve it, but we do not promise that it will be uninterrupted or error-free. The Support and Service Policy describes how we handle incidents and planned maintenance. Gateways keep running the network they were given when the cloud cannot be reached. Features marked "not verified", "limited" or "lab" have not been proven on every kind of hardware or with every live provider; use them with that in mind. We may change features. If a change materially reduces a paid feature you rely on, you may cancel and receive a pro-rata refund of fees you paid in advance for the remaining period.
11. Warranties
We provide UNCHOR OS with reasonable skill and care. Apart from that, and except where the law does not allow it to be excluded, UNCHOR OS, the Academy, community content and all recommendations are provided "as is", without other warranties, including any warranty that they fit a particular purpose or that a recommendation will produce a particular result.
12. Liability
To the extent the law allows:
- We are not liable for loss caused by how you or your users use UNCHOR OS, by your configuration choices, by changes you approve, by your equipment, power or internet provider, by payment or messaging providers, or by your customers.
- We are not liable for indirect or consequential loss, or for lost profits, revenue, data or goodwill.
- Our total liability for all claims in any 12-month period is limited to the greater of the fees you paid us in those 12 months and USD 100.
Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, for gross negligence or wilful misconduct, or any other liability or consumer right that cannot be limited by law.
13. Indemnity
You will compensate us for claims, fines and reasonable costs brought by third parties or regulators that arise from your breach of these Terms, the Acceptable Use Policy or the Operator Agreement, or from running a network without the rights, permissions or licences it needs. This does not apply to the extent the loss was caused by our own breach or negligence.
14. Suspension and closing an account
- You may close your account at any time under Settings → Privacy & data. Deletion is scheduled with a grace period during which you can cancel it.
- We may limit, suspend or close an account that breaches these Terms or the Acceptable Use Policy, is used unlawfully, puts other customers or the service at risk, or is the subject of a credible complaint from a regulator, internet provider or rights holder.
- Where the law and safety allow, we tell you why before we act and give you a reasonable chance to fix the problem. In urgent cases (an active attack, fraud, or a risk to people's safety) we act first and tell you afterwards.
- When an account closes we delete or anonymise personal data, except records the law requires us to keep, such as financial records, which we keep for the period tax law requires.
15. Changes to these Terms
We tell you about material changes in the app or by email at least 14 days before they take effect, except where a change is required sooner by law or to protect users. You will be asked to accept the new version when you next sign in. If you do not agree, you may close your account before the change takes effect and receive a pro-rata refund of fees paid in advance. Each version is published with its date and a fingerprint (SHA-256) of its exact text, and we record which version you accepted.
16. Law and disputes
- These Terms are governed by the laws of Kenya.
- We will first try to settle any dispute by talking to each other in good faith. Write to the contact form at http://127.0.0.1:8080/contact (topic: Legal).
- If a business dispute is not settled within 30 days, either side may refer it to arbitration seated in Nairobi, Kenya before a single arbitrator. The language of the arbitration is English. Either side may still ask a court for urgent interim relief.
- If you are a consumer, you keep every right the law of your country gives you, including the right to bring a claim in your local courts or before a consumer authority, and nothing in this section takes that away.
17. General
- You may not transfer this contract without our written consent. We may transfer it to a company that takes over UNCHOR OS, and we will tell you if we do.
- If a court finds part of these Terms unenforceable, the rest stays in force.
- Not enforcing a right straight away does not mean we give it up.
- Neither side is liable for failing to perform because of events beyond its reasonable control, such as a natural disaster, war, a national network shutdown or a failure of public power.
- Notices to you are sent to the email address on your account. Notices to us are sent to the contact form at http://127.0.0.1:8080/contact (topic: Legal).
